Proposed Privatization of Little Sheep at HK$6.50 per Scheme Share

  Yum! proposed a pre-conditional cash offer to privatize Little Sheep by way of a scheme of arrangement
  Yum!'s China Division to operate and manage the business together with co-founders Mr. Zhang Gang and Mr. Chen Hongkai, who will continue to participate in the Company post transaction
  Cash cancellation consideration of HK$6.50 per Scheme share, a 30% premium to the Company's last closing price of HK$5.00 on 21 April 2011
  Yum! believes the privatization will benefit the development of Little Sheep in a fragmented and highly competitive market

百勝欲溢價30%私有化小肥羊

網易財經5月13日訊,百勝餐飲及小肥羊今日對外公佈,百勝計劃私有化中國連瑣餐廳小肥羊(0968.HK),已經向小肥羊董事會提出以每股6.50港元現金收購小肥羊93.2%股權。該交易尚需獲得包括商務部在內的監管機構批准。

該價格較小肥羊4月21日的收盤價溢價30%。餘下的6.8%股權將由小肥羊創始人張鋼、陳洪凱持有,並繼續參與小肥羊的經營活動。

公告稱,完成收購後,小肥羊現任董事會主席張鋼將繼續擔任公司董事,並擁有「創辦主席」頭銜,以便參與小肥羊的監督工作;現任非執行董事創辦人陳洪凱則繼續擔任在本公司的職務,擁有「創辦人」職務。

公告還表示,收購完成後,預期小肥羊股份將撤銷及終止在港交所的上市地位,實行退市。

根據公開信息,小肥羊目前已發行股本約10.32億股,目前百勝擁有小肥羊集團大約27.2%的股份,據此計算,百勝與小肥羊此次交易涉及金額44.3億港元。

早前受併購消息而在4月26日起停盤的小肥羊股份,今日將恢復交易。

公告透露,收購方百勝認為,在過去數年,中國國內高度分散的全套服務餐廳行業競爭日趨激烈,面對激烈競爭的市場,私有化小肥羊可以讓小肥羊以經濟上更可行的模式立足市場,更好的把握良機。而百勝作為全球最大的餐廳經營者,與小肥羊締結更緊密的夥伴關係,將加快小肥羊品牌、其業務模式以及長遠市場定位的發展。

通過私有化小肥羊,百勝將受益於非上市公司擁有的業務靈活性,包括可通過發出短期通知獲取百勝的額外增長資金,並毋須面臨市場不穩定性的風險,可專注為小肥羊業務帶來長遠利益的投資作出決定,此外還毋須因遵守財務業績的定期報告及披露規定,而為公眾股東利益致使公司受困擾及壓力而必須達成中短期的表現,此外還可以將若干商業敏感信息(包括利潤及公司策略)保持秘密。

百勝目前為全球最大餐廳經營商,其股份在紐交所上市,在110多個國家和地區擁有超過38000間店面。旗下擁有肯德基、必勝客、Taco Bell、Long John Silver's及A&W五家快餐品牌。目前百勝在中國700個城市擁有超過3200間店面,必勝客在中國超過130個城市擁有超過520家店面。

而據小肥羊2010年年報顯示,小肥羊在中國大陸有179家自營火鍋,還有274家特許加盟店。
