ACCA：公司實益擁有人應負申報責任

【本報訊】政府擬修訂《公司條例》，要求香港公司申報實益擁有人資料，例如直接或間接持股或投票權25%以上的人士。ACCA香港分會政策主管朱暖暉表示，由會計師、律師、公司秘書等人要查出最終股東有難度，認為應處罰漏報人士，而非專業人士。為符合打擊洗錢及恐怖分子資金籌集活動的國際標準，政府諮詢後建議修例，加強申報。但朱暖暉認為，諮詢文件有改善之處，因為現時公司的實益擁有人毋須自行申報，反而由會計師、律師、公司秘書等人追查，他們亦須問責。她認為，申報責任應落在實益擁有人身上，更能反映立法原意。不過，政府在諮詢總結中表示，若要求實益擁有人自行申報，會對他們造成沉重負擔，若他們居於海外，更會對執法造成影響。政府建議，設立「擁有重大控制權人士登記冊」，登記香港公司控制人資料，讓有關主管當局查閱。若不按例備存資料者，最高可被罰款2.5萬元，另計每日罰款700元。若在登記時故意呈交誤導或虛假資料，經公訴程序定罪者，最高可罰款30萬元及監禁2年。
