中郵電貿之股票，請留意那8356交易中，賣的是母公司，之前賣的是子公司，亦無提及余小姐在母公司持股。

原本是9,200萬和920萬向余小姐同254買40%及4%，以66仙發行新股支付，即估值是2.3億，後來因為托價回購股票取消了余小姐交易。
之後改為7,700萬購買，以55仙發行新股支付，作價雖低了，但換股數由139,393,939股變成140,000,000股，實際上多了。
後來在25仙減持了6,000萬股，即實際上以余小姐心目中計，這批股票值3,500萬，整體公司估值8,750萬。

以約4.12億估值買19%，即作價7,800萬，一半現金，一半CB，上限換股價為合股後3.6元(合股前18仙)，下限為60仙(合股前3仙)。
該CB 年息方面，如換股價高於合股後2.4元(合股前12仙)，年利6%，如換股價換股價高於合股後1.2元(合股前6仙)，年利3%，如低於合股前1.2元，則無利息，可能呢批債券換後都是按了給人，合約又是同呢個條款差唔多，先咁定。
後來延遲好多次先出公函，這就是該持股紀錄由來。

GS(14)@2012-02-28 22:48:32Technical note: This was a connected transaction for COMG, because its CEO Joseph Lau was controlling shareholder (owning 39.42%) of CPEC, so CPEC was his "associate". However, the amount involved was less than $10m so it was exempt from independent shareholders' approval. If the loan balance (including accrued interest) had grown beyond $10m, then it would have become a non-exempt connected transaction. On the other side, Joseph Lau was Chairman of CPEC but he owned less than 30% (in fact 24.23%) of COMG so it was not his "associate" and this was not a connected transaction for CPEC.
